一.建筑地址:

四.定金:

五.租金:

Ⅴ. Rental:

六.保证金

Ⅵ. Deposit of Security:

1.为确保房屋及其附属设施之安全与完好及租赁内相关费用之如期结算,乙方同意支付给甲方保证金共计人民币 _________元整,甲方在收到保证金后应予以书面签收。

Unless otherwise agreed upon, the amount of deposit of security shall be refunded by Party A without interest to Party B upon expiration of the lease, provided that Party B has vacated the premises, left everything in the premises intact and paid up all expenses due, kept the premises and all facilities in good condition.

3.因乙方违反本合同的规定,而产生的违约金,损害赔偿金以及租金及相关费用,甲方可经乙方书面确保后在保证金中低扣,不足部分乙方必须在接到甲方付款通知后十天内补足。

Any penalty for breach of contract, compensation for damage and rental and other relevant fees payable arising from Party B’s violation of the provisions of the Contract may be deducted by Party A from the deposit of security after receiving the written confirmation from Party B. any shortage there of must be made up for by Party B within ten days of the receipt of the notice of Payment issued by Party A.

七.其他费用:

Ⅶ. OTHER FEES:

1.乙方应承担租赁期内的电话费,水、电、煤、等一切因乙方实际使用而产生的费用,并按公共事业单位的单据如期交纳。

八.甲方的义务:

Ⅷ. Obligations of Party A:

1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

2.房屋设施如因质量原因,自然损害或灾害而受到损害时,甲方有修善的任务并承担有关的费用。

3.甲方应确保其为出租房屋的合法拥有人,按中国法律该房屋可以出租,如在租赁期内,该房屋发生所有权全部或部分的转移,设定他项物权或其他影响乙方权益的事情时,甲方应保证所有权人,他项权利人或其他影响乙方权益的第三者,能继续遵守本合同所有条款,反之如乙方权益因此而遭受损害,甲方应付赔偿责任。

九.乙方的义务:

Ⅸ. Obligations of party B:

1.乙方应按合同的规定,按时支付租金,保证金及其他各项费用。

Party B should pay the rental, deposit of security and other fees payable on schedule according to the provisions of the Contract.

2.乙方经甲方同意,可在承担租用房内进行装修及添置设备。租赁期满后,乙方可将添置的可拆动的动产部分自行拆运,并保证不影响房屋的完好及清洁使用。

Party B shall use the leased premises lawfully according to the provision of the contract. Party B shall not arbitrarily change the use of the said premises. No hazardous materials and goods shall be allowed to be kept in the premises. If any damage is attributable to such use, Party b shall be fully liable for the damage.

5.非房客人为因素造成的设备和家具损坏,由房东负责修缮或更换,如房东在接到房客通知的十天没有及时修缮或更换,房客有权自己去更换或修缮,费用由房东承担,房东应负责房屋结构的维修,除非损坏是由于房客人造成的,其中日常消耗品的'更换费用由乙方承担。

In case any equipment in The Property breaks down by natural use by The Tenant, it is The Landlord’s responsibility to arrange and pay for the costs of repair or replacement. In the event that The Landlord fails to repair or replace such equipment within a reasonable time (being less than ten days from he date on which the problem was notified to The Landlord) The Tenant shall have the right to arrange for repair or replacement and the costs are to be reimbursed to the Tenant by The Landlord. The landlord is responsible for the repair and upkeep and repair of the structure of The Property, except where and to the extent it is damaged due to the negligence of The Tenant. Party B is responsible for the daily consumption.

十.同终止及解除的规定:

Ⅹ. Termination and dissolution of the Contract:

1.乙方在租赁期满后,如需续祖或退租,应提前一个月通知对方,由双方另行协商续租事宜。

A of such intention one month prior to the expiration of the lease term. Then the two parties shall discuss matters over the renewal of leasehold.

2.租赁期满后,乙方应在当日内将承担的房屋及设施在正常清洁状态下交还甲方,如有留置的任何物品,在未取得甲方的谅解之下,均视为放弃,任凭甲方处置,乙方绝无异议。

3.合同一经双方签定后立即生效,未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

This Contract shall come into force upon the date of being signed by both parties. It must not be terminated at will without the approval of both parties, Anything not covered in the contract must be consulate separately by party A and party B.

4.同任何一方在不可抗力事件(地震,战争,自然灾害,政治因素)而不能履行本合同义务时,本合同将自然终止,未租租金及全部押金将返还给乙方。

In the occurrence of force majeur (Earthquake, War, Natural Calamity, Government

complication ),this contract can be terminated in any of the cases above, and the Tenant should get back all the deposit and the rest of the rental pro rata.

十一.违约责任:

Ⅺ. Handling of Breach of Contract:

1.甲、乙任何一方未按本合同的条款执行,导致中途终止本合同,并且过错方在未征得对方谅解的情况则视为违约,双方同意违约金为_________元整。若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。

十二.其他

Ⅻ.Others

1.本合同的附件1至附件5是本合同的有效组成部分,具有同等法律效力。附件3、附件4和附件5为本合同必备部分,否则本合同不生效。

2.本合同一式俩甲、乙双方各持一份,有同等法律效果。

9.乙方的责任:

B.租赁期内末经甲方同意, 乙方不能将其所租物业全部或部分转租,私自转租无效. During the period of tenancy , unless with the agreement of Party A, Party B can not sub-let or let in part or if full the leased premises.

C.乙方应爱护租赁物业及其设备,如因使用不当导致损坏,乙方应负责赔偿.

Party B shall take care of the premises and the facilities of the premisese and shall be responsible for any damages to the premises or the facilitics of the premises owning to the resons of Party B.

D.在已有房内的装饰和设施之外,乙方如要增加设备或其他装修征得甲方同意;租赁期满必须恢复原状,并承担其费用,经甲方验收认可后归还甲.

In additon to the decoration and equipment already in the premises , if Party B wishes to make any alterations or decoration to the premises, Party B shall get consent from Party A, On completion of the tenancy, Party B must hand-over the premises to Party A in its origineal condition and fees arising from such work and to be borne by Party B.

10.争议的解决

Arbitration

凡执行本合同或与合同有关的争议,由双方友好协商解决,协商不成, 提请中国有关经济合同仲裁机构调解,调解不成, 提请中国有关经济合同仲裁机关仲裁.

In the case of disputes arising over this agreement, the two parties shall negotiate in friendly marmer and in good faitb;In failed, shall submit to China Related Economic Contract Arbitrated Bureau to mediate or arbitrate.

11.其他

Others:

A.本合同如有末尽事宜, 由甲乙双方洽谈解决.

If the contract remain some unperfercted parts, the two parties shall negotiate in peace.

B.本合同自签署之日生效,甲乙双方各执一份参照.

出租方与承租方于2015年9月15日双方协商一致,就以下条款达成协议。

The Lessors with renting the side achieved consistently to the following provision in Sept. 15, 2015.

1.甲方同意将康营家园7区1号楼1单元1002室及其设备良好的状态下租给乙方。

9.在租赁期内,如乙方提前终止合同,押金不予返还。

四、租金

五、押金

六、甲方义务

1. 甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

2. 房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。

3. 甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

4. 甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。

6. Obligations of Party A

1)Party A will provide the premises and attached facilities (see the appendix of furniture list for detail)on schedule to Party B for using.

2)In case the premise and attached facilities are damaged by quality problems,natural damages or accidents,Party A will be responsible to repair and pay the relevant expenses. If Party A can‘t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally,Party B has the right to terminate the contract and Party A must return the deposit.

3)Party A will guarantee the lease right of the premises. In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, party A shall guarantee that the new owner,and other associated ,third parties shall be bound by the terms of this contract.Otherwise,Party A will be responsible to compensate party B‘s losses.

4)Party A must register this contract with the relevant government authority If not doing so resulting that this contract is invalid or Party B‘s right of leasing may be damaged ,Party A should take the all responsibilities. Party A should also bear the all the relevant taxes.

七、乙方义务

1. 乙方应按合同的规定按时支付租金及押金。

2. 乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

3. 未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

4. 乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。

5. 乙方应承担租赁期内的水、电、煤气、电话费、收视费、一切因实际使用而产生的费用,并按单如期缴纳。

7. Obligations of Party B

1)Party B will pay the rental and the deposit on time.

2)Party B may add new facilities with Party A‘s approval. When this contract expires,Party B may take away the added facilities without changing the good conditions of the premises.

3)Party B will not transfer the lease of the premises or sublet it without Party A‘s approval and should take good care of the premises. Otherwise,Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4)Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise,Party B will beresponsible for the damages caused by it

5)Party B will bear the cost of utilities such as telephone communications,water,electricity and gas on time during the lease term.

八、合同终止及解除的规定

1. 乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。

2. 租赁期满后,乙方应在日内将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

3. 本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

8. Termination and dissolution of the contract

1)Within one month beforethe contract expires,Party B will notify Party A if it intends to extend the lease. In this situation,two parties will discuss matters over the extension.Under the same terms Party B has the priority to lease the premises.

2)When the lease term expires,Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A‘s previous understanding will be deemed to be abandoned by Party B. In this situation,Party A has the right to dispose of it andParty A will raise no objection.

3)This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party‘s agreement. Anything not covered in this contract will be discussed separately by both parties.

九、违约及处理

1. 甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途终止,则视为该方违约,双方同意违约金为 元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。

2. 若双方在执行本合同或与本合同有关的事情时发生争议,应首先友好协商;协商不成,可向有管辖权的人民法院提起诉讼。

3. 本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

9. Breach of the contract

1)During the lease term,any party who fails to fulfill any article of this contract without the other party‘s understanding will be deemed to breach the contract. In case the default fine is not sufficient to cover the loss suffered by the faultless party,the party in breach should pay additional compensation to the other party.

根据《中华人民共和国合同法》等相关法律法规,甲、乙双方本着平等、互利、诚实信用、共同发展的原则,就乙方在甲方指定区域销售商品事宜订立如下协议。

双方商定的合作方式为代销方式,即由甲方指定区域以代销形式销售乙方产品,并按照实际销售数量结算。甲方所属服务区包括:少林服务区、沁阳服务区、修武停车区、获嘉服务区、凤泉停车区。

1、甲方在收到乙方货品时应当开箱验货,核对数量,如发现有货品缺少、损坏或质量问题,双方核对确认后,要求乙方补货或调

货。合作期间,商品如出现滞销状况,甲方及时反映随时调货,但须保证货品质量完好无损,不能影响二次销售。

2、合作期间,甲方有义务对所代销商品进行月底盘点,如发现货品缺少或人为损坏,双方确认情况属实,由甲方负全部责任。

1、经营资质:签订本合作协议时,乙方应向甲方提供有效的营业执照、税务登记证及签约人的身份证复印件各一份,并加盖乙方公章作为确认保障。如有单位名称、营业地址、法人代表、开户行、税务证等变更,应及时以书面形式告知甲方。

2、产品质量要求:产品生产、加工、销售符合国家法律法规或相关标准要求;外包装无破损、品相良好;同时,根据需要乙方向甲方提供产品质量证明等资料。产品质量问题导致消费者退货或者致使甲方受到有关政府部门查处,乙方应当积极参与调查处理并赔偿因此给甲方造成的全部经济损失,甲方通知乙方后,乙方应积极做出反应,并尽快拿出解决方案,视具体情况乙方应在三个工作日妥善解决。如有媒体报道或上级相关部门通报批评的,给甲方造成声誉严重受损的,情节严重的,甲方有权解除本合同。

3、对代销商品应保证全部调换或退换,并按时按量配送到位。

4、当产品价格出现波动时,应及时通知甲方。供货价格上调应经甲方审核同意后方可调整。

5.乙方向甲方免费提供产品宣传册、宣传海报等物料。

6、乙方所提供产品的外包装应当符合中华人民共和国相关法律法规的规定,用中文标明名称、生产厂厂名与厂址、规格、等级、采用的`产品标准、质量检验合格证明、使用说明、生产日期和安全使用期或者失效期、警示标志及其它说明等。产品应当使用正规条码,以便以POS机识别;无条形码的产品应当在供货单中明确注明。

1、甲方授权其所属服务区与乙方进行产品结算。

2、双方每1个月按照实际销售数量结算一次。乙方按甲方所属服务区要求提供普通发票和增值税发票,甲方所属服务区核对无误后在 7个工作日内将应付货款划拨到乙方账户。

3、双方的结算价格为含税配送到位价。

4、双方确认的结算方式为电汇或转账。

1、甲乙双方均应当全面履行本合作协议的约定,一方违约给另一方造成损失的,应当承担约定(没有约定为法定)的赔偿责任。

2、由于不可抗力因素 (自然灾害、战争、政府行为、意外事件、政策因素、行政干预、公司政策改变等)致使本合作协议无法继续履行或无法全部履行,需提前解除本合作协议的,双方免责。

3、双方未尽事宜另行协商后以补充协议形式确定。

为了明确甲、乙双方的权利和义务,根据《中华人民共和国合同法》及其他法律、法规的规定,双方在平等、自愿、诚信的基础上,经过协商一致,就乙方代理销售甲方产品之事宜达成如下协议,共同遵守。

第一条 甲方委托乙方为销售代理人,推销下列产品。

由于不可抗力事件,致使一方在履行其在本合同项下的义务过程中遇到障碍或延误,不能按规定的条款全部或部分履行其义务的,不应视为违反本合同。本合同所指不可抗力,是指不能预见、不可避免并不能克服的客观情况。

第十条 合同争议的解决方式:

双方(各方)就履行中产生的任何争议,都应由双方(各方)通过友好协商解决,协商不成的,双方(各方)一致同意将该争议提交至 仲裁委员会进行仲裁。

任何一方有权向 人民法院提起诉讼。

【律师提示】在我国诉讼和仲裁是选择关系,两者不能同时适用。有管辖权的法院包括甲方住所地、合同履行地、合同签订地、乙方住所地、标的物所在地等与争议有实际联系的地点的人民法院。向仲裁委员会提起仲裁必须要有有效的仲裁协议存在,否则仲裁机关不予受理。仲裁协议有两种形式:一种是在争议发生之前订立的,它通常作为合同中的一项仲裁条款出现;另一种是在争议之后订立的,它是把已经发生的争议提交给仲裁的协议。这两种形式的仲裁协议,其法律效力是相同的。
